Font License Agreement (Desktop, Webfont, ePub, App)
This License Agreement contains important legal terms, and Licensee acknowledges that by completing the purchase process, Licensee has read the entire License Agreement and agrees to the terms herein. Studio 2am offers different types of license agreements and the one selected at the time of purchase applies to Licensee's use of the Licensed Font.
This License Agreement states the terms and conditions of Licensee's non-exclusive and limited copyright license with respect to the font software and associated digital files ("Licensed Font") made available on studio2am.co and purchased by Licensee.
Licensee
The individual or company this license is for, as declared at the time of purchase. Where the purchase is made on behalf of a client, the client is the Licensee — see the End client definition below.
Licensed to
The license covers the individual or company declared at the time of purchase: an individual ("Just me") or a company of two (2) to five (5) people ("Small team (2–5 people)"), as set out in Section 1.2. Companies with a company size of six (6) or more are licensed under an Enterprise License Agreement priced on company size — see Section 8.
Definitions
Company size — the total number of people working at the company this license is for: employees, plus contractors and regular freelancers doing ongoing work under the company's direction, counted across the company and its parent and subsidiary companies. It is not the number of people who install or work directly with the licensed files.
User — a person who installs the licensed files or works directly with them.
Contractor — a person engaged by a company who works under its direction on an ongoing basis. Contractors count toward that company's company size. A supplier engaged for a single, bounded deliverable does not.
Affiliate — a parent or subsidiary company of the Licensee, or a company under common ownership or control with the Licensee.
End client — the license belongs to the company that ends up using the licensed files as its own. Where a designer, studio, or agency purchases on behalf of a client, the client is the Licensee, and company size means the client's company size; the purchasing designer, studio, or agency and its people working on that client's work may install and use the licensed files to carry out the work as the Licensee's contractors, and do not count toward the Licensee's company size for that reason alone.
1. PARTIES TO THE LICENSE AGREEMENT; WHO THE LICENSE COVERS
1.1 - This License Agreement is an agreement between:
(a) The "Licensee," who is the individual or company this license is for, as declared at the time of purchase and determined by the End client definition (where the purchase is made on behalf of an employer or client, the employer or client is the Licensee)
and
(b) Studio 2am PTY LTD ("Studio 2am")
If you are purchasing on behalf of your employer or a client, then only your employer or client is the "Licensee" and may use the Licensed Font subject to the terms of this License Agreement. In that case, you represent and warrant that you have the authority to accept this License Agreement on the Licensee's behalf, and you may install and use the Licensed Font to carry out the work as the Licensee's contractor.
1.2 - For the Desktop License, who the license covers is determined by the Licensed-to declaration selected and paid for at the time of purchase:
(a) Just me — the Licensee is an individual, or a company of one, and the license covers that one person.
(b) Small team (2–5 people) — the Licensee is a company with a company size of two (2) to five (5), and the license covers everyone working at that company, per the Company size definition.
(c) Company size of six (6) or more — where the Desktop License is required, the Licensee must be licensed under an Enterprise License Agreement priced on its company-size band (Section 8), which covers everyone working at the company.
If the Licensee's company size exceeds the declared scope, the license must be upgraded before use continues. Upgrades are priced as the difference only — see Section 9.
For Webfont, ePub, and App licenses, use is additionally limited by the usage tier or number of titles selected and paid for at the time of purchase (Section 4). Those licenses are priced on usage rather than company size and are available to a Licensee of any company size; the people who may install or work directly with the font files under them are the Licensee's Users reasonably required to implement the licensed use.
2. ASSET MANAGEMENT
Licensee may only install or upload the Licensed Font to:
(i) a device, server, or local network owned and controlled by Licensee, or
(ii) a private cloud storage service, cloud-based design application, or digital asset manager controlled by Licensee, in each case for use of the Licensed Font by the people this license covers only, as permitted herein.
The Licensed Font may not be installed or made available in a public or shared location where unlicensed parties may access or use it.
3. THIS LICENSE AGREEMENT PERMITS COMMERCIAL USE AND NON-COMMERCIAL USE; DEFINED
3.1 - Commercial Use
"Commercial use" is any use:
(i) that involves an exchange of money or other consideration,
(ii) that promotes a business (e.g., sole proprietorship, corporation, or partnership), product, or service, or
(iii) where financial gain or other consideration is either sought or a result, directly or indirectly, of Licensee's use of the Licensed Font.
If any of the above applies, the use is deemed "Commercial."
3.2 - Non-Commercial Use (Personal)
"Non-commercial use" is use for solely personal purposes. Any use that meets the definition of "Commercial use" above cannot be a Non-commercial use.
4. PERMITTED USES AND QUANTITY/IMPRESSION LIMITATIONS
Licensee may use the Licensed Font only as expressly permitted under the specific license type purchased at the time of checkout. Each license type includes different rights and limitations, as outlined below. The numeric usage tiers for the Webfont and App licenses are stated in the Tier Schedule (Section 4.5).
4.1 - Desktop Font License
The Desktop License permits installation of the Licensed Font on devices owned or controlled by the Licensee, for use by the people this license covers (Section 1.2), in static (rasterized or outlined) end uses including but not limited to:
✓ Physical end products such as clothing, cards, invitations, packaging, merchandise, etc.
✓ Social media graphics, promotional materials, or branding content
✓ Digital designs such as website mockups or flat layouts where the font is not embedded
✓ Personal or commercial logo design (for the primary brand identity of a company with a company size of six (6) or more, see Section 8)
✓ Print and packaging work for client or self
✓ PDF exports, image exports, and print deliverables, where the font cannot be extracted
✓ Delivering final design files to a client in non-editable formats (e.g. outlined vectors, PDF exports, flattened images). The end client does not require their own license provided the font cannot be extracted from the deliverable.
Restrictions on Desktop License:
✗ The Licensed Font may not be embedded in websites, mobile apps, desktop software, e-books, or games.
✗ The Licensed Font must not be used in editable templates or content management systems that allow end users to input or generate their own text using the font.
✗ The Licensed Font must always be rendered as a static graphic in export or final deliverable formats.
4.2 - Webfont License
The Webfont License permits embedding of the Licensed Font in one or more websites owned and controlled by the Licensee using the CSS @font-face declaration. The monthly pageview allowance is determined by the tier selected and paid for at the time of purchase (Section 4.5). If Licensee's websites exceed the purchased pageview limit, the license must be upgraded to the applicable higher tier (Section 9).
✓ Permitted for display on websites in live, selectable, or dynamic text rendered by browsers
✓ Fonts may be self-hosted or uploaded through a licensed webfont service
✓ Use is allowed across multiple domains so long as those domains are owned by the Licensee
Restrictions on Webfont License:
✗ The Licensed Font may not be used in third-party web services, platforms, or design tools.
✗ May not be used in apps, games, or digital publications.
✗ Fonts may not be served to unlicensed third parties or included in web tools where user-generated content can use the font.
✗ Webfont files must be secured against hotlinking and not shared beyond the Licensee's website environment.
4.3 - ePub License
The ePub License permits embedding of the Licensed Font into the number of eBook, eMagazine, or ePublication titles selected and paid for at the time of purchase, including future versions or editions of those titles. Each additional title beyond the licensed quantity requires a separate license.
✓ The Licensed Font may be embedded using EPUB, MOBI, or similar formats
✓ The font must be securely embedded and may not be extractable by the end user
Restrictions on ePub License:
✗ Each additional title or publication beyond the licensed quantity requires a separate license.
✗ Fonts must not be made accessible in any editable or installable form.
✗ Not permitted for use in websites, software, apps, or games.
✗ May not be used in systems that generate ePubs on-demand unless explicitly licensed.
4.4 - App License
The App License permits embedding of the Licensed Font into one (1) application title per license purchased, whether for desktop, mobile, or game use. The monthly active user allowance is determined by the tier selected at the time of purchase (Section 4.5) and applies per licensed application title. Each additional application title requires a separate license.
✓ Font may be embedded in app bundles for distribution via platforms such as iOS App Store, Google Play, or desktop installers
✓ Fonts must be embedded in a manner that prevents extraction by the user
✓ License includes all versions and updates of the same app title on all platforms
Restrictions on App License:
✗ Each additional application (different name/title) requires a separate license
✗ The font may not be reused in other apps, white-label variants, or spin-offs
✗ Not permitted for use in websites, web apps, or design tools
✗ Font must not be made available for external or third-party use through the app
4.5 - Tier Schedule
The license scopes and usage tiers available at the time of purchase are:

Pageviews and monthly active users are measured in good faith from Licensee's own analytics, averaged over the trailing three (3) months. At checkout, the Small team (2–5 people) declaration appears as the "Team" option of the license type (e.g. "Desktop Team"). Use beyond the top listed tier of any license type requires a custom license — contact Studio 2am (Section 12). For the triggers that require an Enterprise License Agreement — including the company-size boundary and the primary-brand-identity rule — see Section 8.
5. PROHIBITED USES (ALL LICENSE TYPES)
5.1 - On-Demand and Editable Use
The Licensed Font may not be used in any template, platform, or design tool that allows end users to edit or customize content using the font, such as print-on-demand stores, Canva templates, or online design generators.
5.2 - Trademark Use
The Licensed Font may be used in a logo, but Licensee may not register the font itself as part of any trademark or claim ownership of the font design.
5.3 - Redistribution
Licensee may not resell, share, sublicense, or distribute the font file(s) as a standalone asset, nor may the Licensed Font be made publicly available for download.
5.4 - Modification
Licensee may not modify, convert, or adapt the font into another format (e.g., from OTF to TTF or SVG) unless required for a licensed purpose and never for resale, redistribution, or rebranding.
5.5 - Illegal, Immoral, or Offensive Use
The Licensed Font may not be used in content that is pornographic, defamatory, harassing, offensive, promotes hate or violence, or is otherwise unlawful.
6. SUBLICENSING TO THIRD PARTIES IS PROHIBITED WITH LIMITED EXCEPTIONS
Licensee may sublicense the Licensed Font only in the following limited circumstances:
(a) To a contractor or service provider working on behalf of the Licensee, provided that (i) every person who installs or works directly with the Licensed Font under this exception is within the scope of the Licensed-to declaration — an ongoing contractor counts toward company size (see Definitions — Contractor), and the people of a supplier engaged for a single, bounded deliverable count toward the declared scope while so engaged — and (ii) the font is deleted when the project or engagement is complete.
(b) To a client, where the Licensed Font is included as part of a final, non-editable deliverable (e.g., a brand guide or exported design). The client may not extract or install the font unless they purchase their own license.
(c) To a manufacturer, printer, or developer producing a final product incorporating the Licensed Font on behalf of the Licensee.
Licensee shall at all times remain liable for compliance by any authorized third party.
7. LICENSE DURATION AND TERRITORIAL SCOPE
This License Agreement is perpetual and valid worldwide, unless otherwise stated; the single-country and multi-country distinctions in Section 8 are limits on the scope of particular uses, not on the territory of the license. It is subject to termination if Licensee breaches any provision of this Agreement.
Upon termination, the Licensee must cease all use of the Licensed Font and delete all copies in their possession or control. Completed end products lawfully produced and distributed before termination are unaffected.
8. COMPANY-WIDE AND ENTERPRISE USE
A custom Enterprise License Agreement, in place of the standard Desktop License, is required where any of the following applies:
(a) The Desktop License is required and the company this license is for has a company size of six (6) or more (counted per the Company size definition, including contractors and parent and subsidiary companies). Company-size licensing is priced self-serve — get your price at help.studio2am.co/enterprise;
(b) The Licensed Font will be used in broadcast, television, or streaming advertising or content distributed in more than one country;
(c) The Licensed Font will be used in out-of-home advertising distributed in more than one country;
(d) The Licensed Font will be used on physical or printed end products, merchandise, or packaging in a production run exceeding 250,000 lifetime units, or in ongoing/open-ended production without a fixed run;
(e) Licensee requests exclusivity or a modified version of the Licensed Font;
(f) The Licensed Font will be used to create the primary logo, wordmark, or brand identity of a company or organisation with a company size of six (6) or more (including its parent and subsidiary companies), whether Licensee is that company or a designer or agency acting on its behalf.
Where any of the above applies, Licensee must obtain an Enterprise License Agreement before use — at help.studio2am.co/enterprise or by contacting support@studio2am.co. Studio 2am may also require an Enterprise License Agreement at its discretion where a licensee's scale of use falls outside the intent of the standard license. Use beyond the scope of a standard license without a corresponding Enterprise License Agreement is a breach of this Agreement.
9. UPGRADES
9.1 - If Licensee's use grows beyond the declared or purchased scope — company size beyond the Licensed-to declaration, pageviews or monthly active users beyond the purchased tier, or use requiring an Enterprise License Agreement — Licensee must upgrade before the additional use continues. The upgrade price is the difference only: the fee already paid is credited in full against the fee for the required tier or band at the pricing in effect at the time of upgrade. Upgrades apply from the time of upgrade and are not charged retroactively for use that was within the previously licensed scope.
9.2 - Usage tiers and Licensed-to scopes are increased only by upgrading. Purchasing multiple licenses of the same tier for the same Licensed Font does not combine or stack their limits. Additional ePub or App titles are licensed as additional purchases (Sections 4.3 and 4.4); each such purchase carries its own title and, for App licenses, its own monthly active user allowance.

10. WARRANTY AND LIABILITY
10.1 - The Licensed Font is provided "as is". To the maximum extent permitted by law, Studio 2am excludes all warranties, conditions, and guarantees, express or implied, including fitness for a particular purpose — except for any consumer guarantees that cannot be excluded under applicable law, including the Australian Consumer Law.
10.2 - To the maximum extent permitted by law, Studio 2am is not liable for any indirect or consequential loss, loss of profit, or loss of data arising out of or in connection with this License Agreement, and Studio 2am's total aggregate liability under this License Agreement is limited to the license fees paid by Licensee for the Licensed Font.
10.3 - Licensee will indemnify Studio 2am against third-party claims, losses, and reasonable costs arising from Licensee's use of the Licensed Font in breach of this License Agreement or in violation of law. This does not apply to claims alleging that the Licensed Font itself infringes a third party's rights.
11. GENERAL
11.1 - Licensee may not assign this License Agreement without Studio 2am's written consent, except to a successor of substantially all of Licensee's business, with written notice to Studio 2am.
11.2 - This License Agreement is governed by the laws of New South Wales, Australia, and the parties submit to the non-exclusive jurisdiction of its courts.
